YOOZ CUSTOMER REFERRAL PROGRAM

TERMS AND CONDITIONS

Effective date: March 27, 2026  

The Yooz Customer Referral Program (the “Program”) enables eligible customers of Yooz, Inc. (“Yooz,” “we,” “us,” or “our”) to receive a reward for referring qualified prospective customers, subject to these Terms and Conditions (the “Terms”). Participation in the Program constitutes your agreement to be bound by these Terms. 

 

  1. Program Overview

Under the Program, an eligible Participant (defined below) may submit referrals for prospective Yooz customers by using a Yooz-designated referral form or other channel specified by Yooz (each, a “Referral Submission Channel”). If a referral meets the Qualified Referral criteria in Section 5 and all other conditions in these Terms, the Participant may be eligible to receive a referral reward (the “Reward”). 

We may modify, suspend, or terminate the Program, or any aspect of it, at any time in our sole discretion, in accordance with Section 16. 

 

  1. Eligibility; Participant Definition

2.1 Participant. 

“Participant” means an individual who: 

  1. Is at least eighteen (18) years of age; 
  1. Is an existing customer or authorized user of Yooz, or is otherwise expressly invited or approved by Yooz to participate; 
  1. Has not been suspended or disqualified from the Program by Yooz; and 
  1. Is located in the United States. 

2.2 Ineligible Participants. 

The following are not eligible to participate in the Program or receive any Reward: 

  • Employees, officers, and directors of Yooz and its affiliates; 
  • Any individual referring on behalf of a governmental, public sector, or healthcare entity, or any other category of organization that Yooz designates as restricted; 
  • Any individual who is prohibited by applicable government or employer ethics rules from receiving a Reward (including certain public officials and employees); and 
  • Any person or entity in a jurisdiction where participation in the Program or receipt of the Reward would be unlawful. 

2.3 Program Territory. 

The Program is offered only in the United States and only for referrals of U.S.-based prospects. The Program is not available to persons located in Canada, Mexico, United Kingdom, the European Union, or any other jurisdiction where participation would be unlawful or otherwise restricted. 

 

  1. How to Submit a Referral

3.1 Submission Requirements. 

To submit a referral, you must: 

  1. Use a Referral Submission Channel designated by Yooz (e.g., a Yooz landing page or form); 
  1. Provide accurate and complete information requested about the referred prospect (the “Referred Prospect”), including contact details and company information; and 
  1. Agree to these Terms at the point of submission. 

3.2 Authority and Permissions. 

By submitting a referral, you represent and warrant that: 

  • You have a pre-existing relationship with the Referred Prospect that allows you to share their information with Yooz; 
  • You have obtained any consents required under applicable law and your internal policies to provide the Referred Prospect’s information to Yooz; 
  • Your submission does not violate any confidentiality, privacy, employment, or other contractual obligation; and 
  • Any advertising or invitations relating to this Program will clearly and conspicuously disclose any conditions for receiving a Reward, including any requirement to attend a product demonstration or purchase Yooz services. 

 

  1. Who Qualifies as a Referral

To help ensure a referral is a good fit for Yooz, the Referred Prospect should meet the following baseline criteria: 

  • Process at least one hundred (100) invoices per month; 
  • Use an ERP, DMS, or financial system that Yooz integrates with; 
  • Be a key stakeholder in the accounts payable or purchasing process (e.g., C-level, VP, Director, Controller, or other senior finance, AP, or accounting role); and 
  • Not already be engaged in an active Yooz sales cycle. 

Yooz reserves the right, in its sole discretion, to determine whether a Referred Prospect satisfies these criteria. 

 

  1. Qualified Referral; Two-Step Reward Model

The Program uses a two-step reward model. A referral may qualify for a Stage 1 Reward, a Stage 2 Reward, or both, as described below. 

5.1 Stage 1: Demo Reward. 

A referral qualifies for the Stage 1 Reward (the “Demo Reward”) when all of the following conditions are met, in Yooz’s sole determination: 

(a) Current Customer. The Participant is an existing Yooz customer at the time of submission. 

(b) New Prospect. The Referred Prospect is not an existing Yooz customer, is not already engaged in an active sales opportunity with Yooz and has not been previously referred to Yooz by you or another person. 

(c) SDR Qualification. The Referred Prospect is qualified by Yooz’s sales development team, meaning the prospect: 

  • Matches Yooz’s Ideal Customer Profile (ICP), including holding an appropriate title (e.g., C-level executive, VP or Director of Finance or Accounting, Controller, or accounting/finance staff with purchasing authority); 
  • Meets at least three of the four BANT criteria (budget, authority, need, and timeline) under Yooz’s then-current qualification framework; 
  • Uses or is compatible with an ERP or financial system supported by Yooz; and 
  • Has an invoice volume that fits Yooz’s offerings (generally one hundred (100) or more invoices per month). 

(d) Demo Attendance. The Referred Prospect attends a live product demonstration with a Yooz account executive, as scheduled by Yooz. 

Upon satisfaction of all Stage 1 conditions, the Participant will be eligible for a Demo Reward of fifty U.S. dollars (US $50), issued as a digital gift card, charitable donation in the Participant’s name, or other non-cash incentive selected by Yooz. 

5.2 Stage 2: Conversion Reward. 

A referral qualifies for the Stage 2 Reward (the “Conversion Reward”) when, in addition to meeting all Stage 1 conditions, the following are satisfied: 

(a) Customer Agreement. The Referred Prospect enters into a new, binding customer agreement with Yooz. 

(b) First Payment. The Referred Prospect pays its first invoice to Yooz under that agreement and is not in default. 

The Conversion Reward is tiered based on the Yooz product edition purchased by the Referred Prospect, as follows:

For Tier 3 Conversion Rewards, the Referred Prospect’s company (the “Referral Company”) will also receive one (1) month of free Yooz service, up to a maximum value of two thousand U.S. dollars (US $2,000), applied as a credit to its first Yooz invoice. The Referral Company benefit is subject to the Referral Company entering into a qualifying customer agreement and is not transferable. 

The Conversion Reward will be issued as a digital gift card or other non-cash incentive selected by Yooz. 

5.3 General Reward Terms. 

(a) Non-Transferable. Rewards are personal to the Participant and may not be sold, assigned, pledged, bartered, or otherwise transferred or substituted, except by Yooz in its sole discretion. 

(b) Conditions to Payment. Yooz will have no obligation to issue any Reward unless and until: the applicable stage conditions are confirmed by Yooz; all eligibility criteria and conditions in these Terms are satisfied; and the Participant has provided any information reasonably requested by Yooz for fulfillment and tax reporting. 

(c) Timing. Subject to the foregoing, Yooz will use commercially reasonable efforts to issue Demo Rewards within thirty (30) days after confirmation and Conversion Rewards within sixty (60) days after confirmation that all conditions have been met. 

(d) Multiple Referrals. If more than one Participant submits the same Referred Prospect, Yooz will determine, in its sole discretion, which Participant, if any, is entitled to a Reward. 

 

 

5.4 Referral Validity Period. 

Each referral will remain valid for a period of twelve (12) months from the date of submission through a Referral Submission Channel (the “Validity Period”). If a Referred Prospect does not satisfy all of the conditions for a Qualified Referral within the Validity Period, the referral will expire and no further Reward will be due. 

 

  1. Exclusions and Disqualification

Without limiting any other provision of these Terms, no Reward will be issued, and Yooz may disqualify a Participant or referral, if: 

(a) The referral is a self-referral or relates to an entity that is under common control with the Participant (e.g., the Participant’s own employer or affiliate); 

(b) The referral is generated by or through automated means, bots, scripts, scraping, bulk submissions, or any other deceptive or abusive practice; 

(c) The Referred Prospect was already known to or engaged by Yooz prior to submission; or 

(d) Yooz reasonably believes that the Participant has violated these Terms, any applicable law, or any Yooz policy, or has engaged in fraud, misconduct, or other improper activity. 

Yooz may audit Program activity and require reasonable documentation to verify eligibility and compliance. 

 

  1. Participant Representations; Conflicts and Ethics

You represent, warrant, and covenant that: 

(a) Your participation in the Program and receipt of any Reward does not and will not violate any law, regulation, professional standard, code of conduct, employer policy, or contractual obligation applicable to you (including, without limitation, any policies limiting or prohibiting acceptance of gifts, incentives, or other items of value); 

(b) You have obtained all internal approvals and consents necessary (e.g., from your employer or compliance department) to participate in the Program and accept any Reward; 

(c) You will not offer or accept any Reward as a bribe, kickback, or other improper payment; and 

(d) All information you provide in connection with the Program is truthful, accurate, and not misleading. 

You are solely responsible for determining whether and to what extent your participation in the Program and acceptance of any Reward is permitted under your internal policies and applicable law. If you are a government or public-sector employee, you acknowledge that it is your responsibility to confirm that accepting any Reward is permitted under applicable ethics laws. 

 

  1. Disclosures and Marketing Communications

If you promote Yooz or the Program publicly (for example, on social media, in a blog, or by email to third parties), you must make clear, prominent, and timely disclosures that you may receive a Reward for a successful referral, in a manner that complies with Federal Trade Commission guidelines on endorsements and testimonials and any similar rules that apply to you. Yooz may provide suggested disclosure language (for example, “I may receive a reward from Yooz if you become a customer”), but you are responsible for ensuring that your disclosures are accurate and compliant. 

 

  1. Taxes and Reporting

9.1 Participant Responsibility. 

Rewards may constitute taxable income to you. You are solely responsible for any federal, state, local, or other taxes, and any reporting obligations, associated with your participation in the Program and receipt of Rewards. 

9.2 Information and Reporting. 

Yooz may require you to provide tax-related information (for example, a properly completed IRS Form W9) as a condition to issuing a Reward, and Yooz may issue IRS Forms 1099MISC or other tax forms, and may report Rewards to tax authorities, as required by applicable law (including where the aggregate value of Rewards you receive in a calendar year is $600 or more). Yooz does not provide tax, legal, or financial advice; you should consult your own advisors. 

 

  1. Privacy

Any personal information collected by Yooz in connection with the Program will be processed in accordance with the Yooz Privacy Policy then in effect. By participating in the Program, you consent to Yooz’s collection, use, and disclosure of personal information as described in such policy and in these Terms. You acknowledge that you are responsible for obtaining any necessary consents from Referred Prospects to share their information with Yooz, and Yooz will provide any required privacy notices directly to Referred Prospects at or shortly after initial contact. 

 

  1. No Agency; Independent Status

Participation in the Program does not create any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between you and Yooz. You are not authorized to make any representations or commitments on behalf of Yooz or to bind Yooz in any way. 

  1. Fraud, Abuse, andClawback

Yooz reserves the right, in its sole discretion, to investigate any suspected or actual misuse of the Program, disqualify any Participant from the Program, withhold, deny, or cancel any Reward, and recover or “claw back” any Reward previously issued, if Yooz determines that you have violated these Terms, engaged in fraud or abuse, or otherwise acted in a manner that Yooz deems inconsistent with the spirit or legitimate operation of the Program. 

 

  1. Disclaimers

THE PROGRAM AND ANY REWARD ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. YOOZ DOES NOT WARRANT THAT ANY REFERRAL WILL BE ACCEPTED, THAT ANY QUALIFIED REFERRAL WILL RESULT, OR THAT ANY REWARD WILL BE ISSUED EXCEPT AS EXPRESSLY DESCRIBED IN THESE TERMS. 

 

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOOZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL YOOZ’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS EXCEED THE TOTAL MONETARY VALUE OF THE REWARD(S) AT ISSUE. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. 

 

  1. Dispute Resolution; Binding Arbitration

 

15.1 Informal Resolution. 

Before initiating any formal dispute resolution proceeding, you agree to first contact Yooz at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. 

 

15.2 Binding Arbitration. 

If the dispute is not resolved informally within thirty (30) days, either party may initiate binding arbitration; any dispute, claim, or controversy arising out of or relating to the Program or these Terms, including the determination of the scope or applicability of this agreement to arbitrate, will be determined by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect, before a single arbitrator seated in Tarrant County, Texas. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. 

 

15.3 Class Action Waiver. 

YOU AND YOOZ EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND IF A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND YOOZ EACH WAIVE ANY RIGHT TO A JURY TRIAL. 

 

15.4 Small Claims Exception. 

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court’s jurisdictional limits. 

 

15.5 Governing Law. 

These Terms and any dispute arising out of or relating to the Program will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflicts of law principles. 

 

  1. Modifications; Suspension; Termination

Yooz may update these Terms, or modify, suspend, or terminate the Program (in whole or in part), at any time in its sole discretion. Unless Yooz states otherwise, any changes will apply prospectively and will not affect Rewards that have already been earned in accordance with the Terms in effect at the time of the underlying Qualified Referral. Yooz will indicate the “Effective date” at the top of these Terms and may provide notice of material changes via the Program landing page or by other reasonable means; your continued participation after any update constitutes your acceptance of the revised Terms. 

 

  1. Entire Agreement; Severability

These Terms constitute the entire agreement between you and Yooz with respect to the Program and supersede all prior or contemporaneous understandings regarding the Program. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be deemed modified to the least extent necessary to make it valid and enforceable, consistent with the parties’ original intent.
